Job Description

I'm currently partnering with a publicly traded Life Sciences company in Boca Raton who are looking to recruit a Corporate Counsel. The company has been performing extremely well and have had 18 quarters in a row of back-to-back revenue growth.

This is a newly created position. This is also an on-site role with the option to work from home on a Friday.

Relocation support would be provided.

Position Summary:

This role will provide legal support on corporate, securities, investor relations, M&A, and employment matters. This role involves drafting and reviewing legal documents, conducting legal research, and collaborating with cross-functional teams to ensure compliance with business objectives.

Key Responsibilities:

• Draft, review and coordinate internally, with outside counsel and with other third parties on Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other public filings.
• Coordinate disclosures of press releases/SEC filings with Nasdaq.
• Provide counsel on corporate governance, employment matters, and compliance.
• Manage contracts and oversee contract databases.
• Support corporate transactions and IP portfolio management.
• Conduct legal research and stay updated on legal developments.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to any state bar and in good standing.
• Minimum of 5 years of legal experience in capital markets, debt finance, M&A, or corporate law at an AMLAW 100 law firm
• Prior in-house legal experience strongly preferred.
• Strong knowledge of corporate and securities law.
• Excellent legal research, writing, and analytical skills.
