Job Description

Our employer, a leading travel technology company headquartered in West Palm Beach Fl, is seeking an individual to serve as Corporate Counsel. This individual will provide comprehensive legal advice, consultation, and support on all legal and compliance matters across the company. As corporate counsel, the successful candidate will assist the company in its continued growth while providing sound legal advice on all matters from risk management to compliance to business development. It will be critical for a successful applicant to balance the demands of a rapidly-growing company with meticulous attention to detail. The indivdual must understand the importance of the long-term goals of the company in every decision while maintaining the integrity upon which the company was founded.

Key Responsibilities

• Draft, review, negotiate, and advise on all contracts on behalf of company.
• Manage all legal aspects of mergers, acquisitions, including overseeing due diligence and drafting and negotiation of transaction documents, including letters of intent, purchase agreements, and all ancillary transaction documents.
• Provide legal advice and support on corporate governance matters, compliance, legal entity maintenance, and formation.
• Participate in meetings with potential business partners and customers.
• Assist CLO with all legal operations at company, including the management of outside legal partners.
• Protect the intellectual property of the company.
• Maintain a high-level perspective while making detailed decisions, including knowing when to delegate tasks.

Requirements

• Juris Doctor (JD) degree from accredited United States law school.
• Admission into the State Bar of one state (with a preference to Florida).
• At least five (5) years of experience in transactional law, including at least three (3) years of experience in drafting, reviewing, negotiating, or litigating contracts.
• Preferred experience with publicly traded corporations.
• Excellent listening skills.
• Ability to effectively communicate, both written and oral, with the intended audience
• Ability to exercise sound judgment in a fast-paced environment
• Ability to exercise agility and adaptability in providing legal advice
• Comfortable in a rapidly changing corporate environment
• Proficient using MS Office, strong understanding working with a CLM
• Ability to work independently and as part of a team
